Welcome to Ideapod (the “Site”). By accessing or using the Site, you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, do not access or use the Site.

1. Acceptance of Terms

By using the Site, you acknowledge that you have read, understood, and agree to these Terms and any additional guidelines posted on the Site. We reserve the right to modify or update these Terms at any time. When we do, we will revise the “Last Updated” date. Your continued use of the Site after any such changes constitute your acceptance of the new Terms.

2. Eligibility

You must be at least 13 years old to access or use the Site. If you are under the age of majority in your jurisdiction, you may use the Site only under the supervision of a parent or legal guardian.

3. User Accounts

You may be required to create a user account to use certain features of the Site. You agree to:

  • Provide accurate, current, and complete information;
  • Keep your login credentials confidential and secure;
  • Notify us immediately at support@ideapod.com if you suspect any unauthorized use of your account.

We reserve the right to suspend or terminate any account for violating these Terms or engaging in fraudulent, illegal, or prohibited activities.

4. User Content

The Site may allow you to post or upload text, images, videos, or other content (“User Content”). By posting User Content, you represent and warrant that:

  • You own or have all necessary rights to post such content;
  • Your User Content does not infringe or violate the rights of any third party or any law;
  • Your User Content complies with these Terms and any applicable community guidelines.

You grant Ideapod a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute your User Content in connection with the operation of the Site and our business.

5. Intellectual Property

All trademarks, service marks, trade names, logos, and other intellectual property used on the Site are proprietary to their respective owners. You agree not to copy, distribute, display, or create derivative works from any part of the Site without express written permission.

6. Discontinuation of the “Tribe” Membership Program

Ideapod formerly offered a membership program known as the “Tribe.” This program has been discontinued, and all memberships have been canceled. We thank all past members for their participation. 7. Advertising and Third-Party Links

Ideapod may display advertisements, including ads served by Mediavine, and may contain links to third-party websites. We do not control or endorse third-party content, products, or services, and we are not responsible for the practices, terms, or policies of any third-party websites or services. Your interactions with any third party found on or through the Site are solely between you and the third party.

8. Prohibited Uses

You agree not to:

  • Violate any applicable local, state, national, or international law;
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • Interfere with or disrupt the Site, servers, or networks connected to the Site;
  • Engage in data mining, scraping, or similar data gathering methods without explicit permission;
  • Post or transmit any content that is unlawful, fraudulent, harassing, hateful, or otherwise objectionable.

9. Disclaimer of Warranties

Your use of the Site is at your sole risk. The Site is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent allowed by law, Ideapod disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, Ideapod and its affiliates, directors, officers, employees, or agents shall not be liable for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, arising out of your use of the Site. In no event shall Ideapod’s total liability for direct damages exceed the amount you paid (if any) for accessing the Site.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ideapod and its affiliates, directors, officers, employees, or agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from:

  • Your use of and access to the Site;
  • Your violation of these Terms;
  • Your violation of any third-party right, including any intellectual property right or privacy right.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in California, and you consent to the exclusive jurisdiction of and venue in such courts.

13. Termination

We reserve the right to suspend or terminate your access to the Site at any time, for any reason, including any violation of these Terms. Upon termination, your right to use the Site will immediately cease.

14. Changes to the Site

We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time with or without notice.

15. Entire Agreement

These Terms constitute the entire agreement between you and Ideapod regarding your use of the Site, superseding any prior agreements. If any provision of these Terms is held invalid, the remainder of the Terms shall continue in full force and effect.
